    EXPERIENCE

    Mr. Wasserman has been the lead attorney in several billion dollars of complex real estate
    acquisition, disposition, development, joint venture and financing transactions across most major
    product types, and has represented or closed deals with a wide array of real estate owners,
    operators, developers and investors. Additionally, Mr. Wasserman has significant experience with
    leasing, asset management, work-outs and operational matters and with general corporate and
    business transactional matters.

    Some prior transactions include:

    - The acquisition of residential building lots and nearly completed homes from the FDIC.


    - The acquisition, syndication and financing of a 41 unit rent-controlled apartment building in San
    Francisco, CA.

   EXPERIENCE AND REPRESENTATIVE MATTERS

   Mr. Wasserman has been the lead attorney in several billion dollars of complex real estate
   acquisition, disposition, development, syndication, joint venture and financing transactions across

   owners, operators, developers and investors. Additionally, Mr. Wasserman has significant
   experience with leasing, asset management, work-outs and operational matters and with general
   corporate and business transactional matters.

   Some notable prior transactions and assignments include:

  - Representation of a real estate investor and syndicator in connection with the acquisition and
  financing of 25+ apartment properties and several development projects in multiple transactions.

  - Representation of a private investment firm with respect to the negotiation and drafting of a
  Development Agreement for a master planned community containing over 1,300 lots.

 
 - Representation of a real estate development firm in connection with the negotiation and            
  drafting of a Development Agreement for a project containing 358 condominium units and 311
  independent, assisted living or skilled nursing units.   

  - Representation of a real estate investment group in connection with the negotiation and drafting
  of a Development Agreement for a project containing 112 condominium units, and the acquisition
  and financing of the underlying land.   

  - Representation of real estate investors in the purchase and sale of net leased, single-tenant
 
 properties.

  - Representation of a real estate investment group funded with institutional capital pursuant to
  participating loans in the acquisition and development of several partially completed residential
  subdivisions in California and Nevada, and the subsequent sale of bulk homes and developed lots
  through lot option arrangements.

  - Representation of a design boutique company with respect to their shopping center and high-
  end location retail leases.

  - Representation of a CMBS Trustee with respect to leasing matters.

  - Creation of a template Purchase and Sale Agreement for a NYSE traded Industrial REIT, and
  assistance with the acquisition of numerous industrial properties.

  - Representation of a private home builder in numerous land acquisitions and development joint
  ventures in Arizona and Southern California.

  - Representation of the developer/land seller with respect to the retail master leasing component
  of a highly complex $150MM pre-sale of a to be built mixed use project that includes 467
  apartment units in Huntington Beach, CA to a public REIT.

  - Representation of a private equity investment firm that acquires foreclosed homes for rental
  purposes in connection with their initial acquisitions operating partner arrangement/venture in a
  new market.

  - Representation of a private equity investment firm with respect to their office lease in Century
  City, CA.

  - Representation of an electronics parts component company with respect to their light industrial
  lease in Lake Forest, CA.

  - Representation of a developer in connection with the land acquisition and development of a 327  
  unit $87MM tower apartment project in Seattle, WA.

  - Representation of a developer in connection with the land acquisition and development of a
  367unit $72MM mid-rise apartment project in San Jose, CA.
